2. Scope of Services

SEO & SEM: Search Engine Optimization and Search Engine Marketing services to improve your online visibility.
Hosting & Email Services: Secure hosting and email solutions for your business, including website hosting, email hosting, and ongoing support.
Graphic Design & Branding: Creation of branding materials, logos, print designs, and digital content.
CRM & eCommerce Solutions: Development and integration of CRM systems and eCommerce platforms tailored to your business.
3. Client Responsibilities
Provision of Information: Clients must provide accurate and complete information necessary for WebAcumen to deliver the services.
Access to Accounts: Clients must provide necessary access to their accounts, including but not limited to hosting, domain, and third-party service providers, as required for service delivery.
Content Ownership: Clients are responsible for the content provided to WebAcumen for use in their websites, apps, and other digital assets. Clients must ensure they have the necessary rights and permissions to use all content.
4. Payment Terms
Fees: Fees for services are outlined in the individual agreements or quotes provided to clients. Payment schedules and amounts may vary depending on the service.
Invoices: Invoices will be issued according to the agreed payment schedule. Payments must be made within the time frame specified on the invoice.
Late Payments: Failure to make payments on time may result in the suspension or termination of services.
5. Intellectual Property
Ownership: WebAcumen retains all rights to any intellectual property created during the course of providing services until full payment is received. Upon full payment, the rights to the custom-created content, including websites, designs, and code, will be transferred to the client.
Use of Templates and Third-Party Tools: Any third-party tools, plugins, or templates used in the creation of client products may be subject to their respective licensing agreements.
6. Service Delivery
Timelines: WebAcumen will strive to deliver services within the agreed-upon timelines. However, delivery may be affected by factors outside WebAcumen’s control, such as delays in client feedback or third-party services.
Revisions: Clients are entitled to revisions as outlined in their service agreement. Additional revisions beyond this scope may incur extra charges.
7. Support and Maintenance
Website Maintenance: WebAcumen offers ongoing website maintenance and support services, including security updates, performance monitoring, and technical support.
Hosting Support: Hosting services include ongoing technical support, ensuring optimal performance and security of the client’s website or email services.
Service Availability: WebAcumen strives to ensure that hosting and email services are available 24/7, barring any scheduled maintenance or unforeseen outages.
8. Confidentiality
Client Information: WebAcumen agrees to keep all client information confidential and will not disclose any client information to third parties without the client’s consent, except as required by law.
9. Limitation of Liability
No Guarantees: While WebAcumen will strive to deliver high-quality services, we do not guarantee specific results such as search engine rankings or increased sales.
Liability Cap: WebAcumen’s liability for any claims arising out of or related to the services shall not exceed the amount paid by the client for the services in question.
10. Termination of Services
Client-Initiated Termination: Clients may terminate services with WebAcumen by providing written notice. Termination may result in the loss of any progress or assets not yet fully paid for.
WebAcumen-Initiated Termination: WebAcumen reserves the right to terminate services if the client fails to comply with these Terms, including failure to make payments or providing false information.
11. Amendments to Terms
WebAcumen reserves the right to amend these Terms at any time. Clients will be notified of any changes, and continued use of services will constitute acceptance of the new Terms.
12. Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WebAcumen operates.
Dispute Resolution: Any disputes arising out of these Terms shall be resolved through good faith negotiations. If a resolution cannot be reached, the dispute may be referred to mediation or arbitration.
